End-User License Agreement (EULA)

This End User License Agreement (“Agreement”) is made between DrayTek Corporation (“DrayTek”) and the end user (“End User”). DrayTek provides its products, software, and related services (“Technology”) subject to the terms of this Agreement. By installing, activating, or using the Technology, End User agrees to be bound by this Agreement.


1. DEFINITIONS

1.1 “Software” means DrayTek firmware, applications, updates, and documentation.

1.2 “System” means the backend infrastructure used to deliver certain services, including cloud-based cybersecurity services.

1.3 “Technology” means Software, System, and related services.

1.4 “License Key” means a data string used to activate licensed features.

1.5 “Cyber Protection Services” means subscription-based security services including Threat Protection, content filtering, and related functions.


2. GRANT OF LICENSE

2.1 DrayTek grants End User a non-exclusive, non-transferable license to use the Technology subject to this Agreement.

2.2 Certain features (including Cyber Protection Services) require a valid License Key and active subscription.

2.3 Cyber Protection Services are licensed, not sold, and are provided on a subscription basis.

2.4 Core networking functionality of the device remains available regardless of Cyber Protection subscription status.


3. CYBER PROTECTION SERVICES

3.1 Service Scope

Cyber Protection Services provide network-level security functions, including but not limited to:

  • Device identification and fingerprinting
  • Detection of malicious domains and IP addresses
  • Content filtering and access control
  • Security event monitoring and reporting
3.2 Service Architecture

These services are delivered through a combination of on-device processing and cloud-based systems.
Service availability depends on:

  • Internet connectivity
  • Backend systems
  • Third-party infrastructure
3.3 Data Processing

To provide Cyber Protection Services, DrayTek may collect and process data including:

  • Device metadata (e.g., MAC address, IP address)
  • DNS queries (for threat analysis)
  • Security logs and events
  • Configuration settings

Such processing is necessary for service operation, threat detection, and service improvement.
Data may be processed in regional or global infrastructure in accordance with applicable data protection laws.

3.4 No Absolute Security Guarantee

Cyber Protection Services enhance security but do not guarantee:

  • Detection of all threats
  • Prevention of all attacks
  • Uninterrupted or error-free operation
3.5 Service Dependency

Cyber Protection Services may rely on third-party data sources and infrastructure.
DrayTek is not responsible for interruptions or inaccuracies caused by such dependencies.

3.6 MSP / Partner Management

Service provisioning and management may be conducted through authorized MSPs, distributors, or partner accounts.

3.7 Service Termination

Upon expiration or termination:

  • License Key will be deactivated
  • Cyber Protection features will cease operation
  • Core device functions will remain unaffected

4. RESTRICTIONS

End User shall not:

  • Reverse engineer or tamper with Technology
  • Use Technology unlawfully
  • Interfere with system operation

Violation may result in suspension or termination.


5. TERM AND TERMINATION

This Agreement shall remain in effect unless terminated in accordance with its terms.


6. EFFECTS OF TERMINATION

Upon termination:

  • Access to licensed services will cease
  • License Keys may be revoked
  • Cyber Protection Services will stop functioning

7. PROPRIETARY RIGHTS

All intellectual property rights in the Technology remain the property of DrayTek or its licensors. End User shall not use any trademarks, service marks, or logos of DrayTek without prior written consent.


8. WARRANTIES

Technology and Cyber Protection Services are provided on an “AS IS” and “AS AVAILABLE” basis.
DrayTek disclaims all warranties, including but not limited to:

  • Fitness for a particular purpose
  • Security guarantees
  • Continuous availability

9. LIMITATION OF LIABILITY

DrayTek shall not be liable for:

  • Loss of data or profits
  • Security breaches or undetected threats
  • Service interruptions

Total liability shall not exceed fees paid within the previous 12 months.


10. CONFIDENTIALITY

Each party agrees to protect the confidential information of the other party and use it only for purposes permitted under this Agreement.


11. PRIVACY AND PERSONAL DATA

DrayTek processes Personal Data in accordance with applicable laws.
Processing may include:

  • Security analytics
  • Threat detection
  • Service optimization

Retention periods depend on service type and purpose.


12. EXPORT CONTROL

End User agrees to comply with all applicable export control laws and regulations.


13. INDEMNIFICATION

End User agrees to indemnify and hold DrayTek harmless from any claims arising from misuse of the Technology.


14. DISPUTE RESOLUTION

This Agreement shall be governed by the laws of Taiwan. Any disputes shall be resolved in the courts of Taiwan.


15. MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
